Terms & Conditions
Last updated: 4 October 2026
These terms govern the use and purchase of BMS NFC services (BMS Reviews, BMS Stand, BMS ID and BMS Club) and other BM Shadow services. By creating an account or subscribing you accept them.
1.Service provider
Fundacja Rozwoju Przedsiębiorczości “Twój StartUp” (trade name: BM Shadow), NIP 5213641211, REGON 146433467, ul. Pory 60 m. 32, 02-757 Warszawa, Poland. Contact: bmshadow@bmshadow.com.
2.Scope and account
We provide digital tools linked to NFC/QR media: review redirects, digital profiles, contact capture and loyalty programmes, with a metrics dashboard. You are responsible for the accuracy of your data and for keeping your password confidential.
3.Prices, free trial and renewal
- Current prices, billing period (monthly or yearly) and applicable taxes are shown before payment on the product page and at checkout.
- When a free trial is offered, nothing is charged during it. Afterwards the subscription renews automatically at the chosen price and period unless you cancel first.
- Payments are processed by Stripe. Invoices are available in your dashboard.
- If a payment fails, the service may be paused until settled.
- We may change prices with reasonable notice; changes apply from the next renewal and you may cancel beforehand.
4.Cancellation
You may cancel at any time from your dashboard or by emailing bmshadow@bmshadow.com. Cancellation stops future renewals and the service remains active until the end of the paid period. Unless required by law, partial periods are not refunded.
5.Right of withdrawal (consumers)
If you contract as an EU consumer, you have 14 calendar days from purchase to withdraw without giving reasons, by notifying bmshadow@bmshadow.com. If you ask for the service to start during that period, you pay the proportional part provided; there is no cost during a free trial. Services purchased for your business or profession carry no right of withdrawal unless applicable law states otherwise.
6.Acceptable use
You may not use the services for unlawful or misleading content, content infringing third-party rights, or to send messages without consent. We may suspend accounts breaching these rules, with prior notice where possible.
7.Availability and liability
We work to keep the service available, but interruptions may occur due to maintenance or external causes. To the extent permitted by law, our liability is limited to the amount paid in the last 12 months and excludes indirect damages. Nothing here limits liability for wilful misconduct or gross negligence, nor mandatory consumer rights.
8.Intellectual property
BM Shadow's software, brand and designs belong to us. You keep the rights to content you upload and grant us a limited licence to display it as part of the service.
9.Data Processing Agreement (Art. 28 GDPR)
When you use BMS Club or BMS ID contact capture, you (the business) are the controller of your customers' data and BM Shadow acts as processor. In particular, BM Shadow:
- Processes data only on your documented instructions (providing the contracted service).
- Ensures confidentiality of authorised staff.
- Applies appropriate technical and organisational measures: encryption in transit, per-account access control, per-business data isolation and two-factor admin access.
- Uses the sub-processors listed in the Privacy Policy under equivalent obligations, and will notify changes so you can object.
- Assists you with data-subject requests and notifies any personal data breach without undue delay.
- Deletes or returns the data at the end of the service, unless legally required to retain it.
- Makes available the information needed to demonstrate compliance.
You undertake to have a legal basis for processing, to inform your customers and to send promotions only to those who opted in.
10.Changes to these terms
We may update these terms. Material changes will be notified in advance; if you disagree, you may cancel before they take effect.
11.Governing law and disputes
Polish law applies and the courts of Warsaw have jurisdiction, without prejudice to mandatory rules and the forum available to consumers in their country of residence. EU consumers may also use alternative dispute resolution.
